A big mining take-over bid made the headlines today on this risk-on trading day, capturing investor attention as market sentiment leaned toward higher-risk, higher-reward opportunities.

Shares of Sierra Metals Inc. (TSX: SMT) (OTCQX: SMTSF) are surging on news that the company has reached an agreement in principle with Alpayana S.A.C. and its Canadian subsidiary, Alpayana Canada Ltd., for a board-supported, all-cash take-over bid valued at CDN $1.15 per common share. Under the terms of the proposed offer, Alpayana Canada will acquire all of Sierra Metals' outstanding common shares. The deal highlights Sierra Metals' position as a copper-focused Canadian mining company with operations in Peru and Mexico, where it has seen recent mineral discoveries and continues to pursue exploration and production expansion opportunities.

Alpayana Canada was specifically established to carry out this acquisition and is wholly owned by Alpayana, a private, family-owned mining company with over 38 years of operational experience in Peru. Known for its sustainable and disciplined approach to mining development, Alpayana generates more than US$500 million in annual revenue and maintains a debt-free balance sheet. The acquisition aligns with Alpayana's long-term growth strategy and enhances its portfolio with Sierra Metals' assets and exploration potential.

Shares of SMT are currently up 19.23% at $1.085 while U.S. listed shares rally 18.24% at $0.7721 in mid-morning trading.
