For mining companies navigating foreign M&A, emergency injunctions can temporarily freeze corporate transactions, even when third-party claims lack jurisdiction over the underlying asset. An appellate court decision overturning a lower court’s ex parte order immediately restores deal momentum, removing restrictions on asset transfers and registry filings. For investors watching a pending acquisition, lifting those legal stays validates the deal structure and clears the primary hurdle to transaction completion.

Helius Minerals Limited (TSX-Venture: HHH) gained Thursday after a Brazilian appellate court suspended a preliminary injunction issued on July 31, 2026, by a lower civil court in Recife.

The original court order had temporarily blocked Helius, Colossus Minerals Inc., and related entities from transferring shares in Colossus Brazil, its interest in the Serra Pelada project, and the property’s underlying mining rights. The appellate ruling completely overturns that freeze. It instructs the civil court to stop notifying Brazil’s National Mining Agency (ANM) and local commercial registries, and directs relevant authorities to cancel any restrictions previously placed on the assets.

With the injunction lifted, Helius and Colossus are free to proceed with Helius' acquisition of Colossus Brazil under their existing agreement. The dispute stems from a lawsuit involving a minority shareholder dispute at an unrelated company, and neither Helius nor Colossus are parties to that case. Helius maintains that the claims have no merit and intends to defend its acquisition rights.

The next primary catalysts for the company are completing the final closing steps for the Serra Pelada project acquisition and monitoring any remaining court filings in Brazil.

Shares of HHH rose 11.2% to C$4.38 following the news on volume of 34K shares.
