Reliable power infrastructure is becoming increasingly important as industries ranging from telecommunications and data centers to robotics and autonomous systems require dependable energy solutions. Companies developing specialized power technologies are finding new opportunities as demand expands beyond traditional backup power into fast-growing markets such as AI infrastructure, drone charging, and distributed energy systems.

Shares of Polar Power, Inc. (NASDAQ: POLA) are surging Tuesday after the company announced a committed equity facility that provides access to up to $25 million in potential growth capital. The financing arrangement is designed to strengthen the company's working capital position while supporting continued expansion of its direct current (DC) power systems business across several emerging markets.

Polar Power designs and manufactures DC power systems used in telecommunications, military, industrial, EV charging, and microgrid applications. In recent years, the company has broadened its product portfolio to include power and cooling solutions for data centers, along with charging systems designed for drones and other autonomous technologies.

Under the agreement, Roth Principal Investments, LLC, an affiliate of CR Financial Holdings and Roth Capital Partners, has committed to purchase up to $25 million of Polar Power common stock at the company's discretion, subject to certain conditions. The facility gives Polar Power the flexibility to access capital over time rather than raising the full amount immediately, allowing management to pursue funding opportunities as business needs arise.

The company said it intends to use any net proceeds for working capital and general corporate purposes, including continued investment in its expanding DC power systems business. Management emphasized that it is under no obligation to utilize the full amount available under the facility. Polar Power also noted that it may not be able to sell the full $25 million regardless of its intentions, citing limitations that include the number of shares registered for resale and applicable Nasdaq rules.

"We are pleased to have entered into this Committed Equity Facility, which is intended to provide additional financial and working capital flexibility to support the continued growth of our DC power systems business," said Arthur D. Sams, President and Chief Executive Officer of Polar Power. He added that the company has expanded beyond its established DC power technology into new markets including drone charging systems, micro and nano grids, EV charging, robotics, and power and cooling solutions for data centers, with the facility providing added flexibility to pursue those opportunities.

Any future sales under the facility will depend on market conditions and other requirements, including the effectiveness of a registration statement with the SEC. Sales are expected to be priced off the prevailing market price at the time of sale, and the company cautioned that shares issued under the facility, together with resales by Roth Principal Investments, could be dilutive to existing shareholders.

Shares of POLA are up 38.1% to $2.03 in Tuesday morning trading.
